    Oceaneering Announces the Promotion of Janet G. Charles to Vice President of Human Resources

    September 21, 2006

    September 21, 2006 – Houston, Texas – Oceaneering International, Inc. (NYSE:OII) announced the promotion of Janet G. Charles to Vice President of Human Resources.

    Ms. Charles has 13 years of oil and gas industry experience.  She joined Oceaneering in 1994 as a member of the Investor Relations group and later transferred to and has managed the Human Resources group for six years.  She is a graduate of Nicholls State University.

    George R. Haubenreich, Jr., Senior Vice President, General Counsel, and Secretary stated, “Janet’s promotion to Vice President recognizes her contribution in providing leadership in human resources that has been essential in attracting and retaining personnel to support Oceaneering’s growth.  She will continue to have responsibility for the development and implementation of organization policies and programs regarding employment, benefits, compliance, employee relations, and compensation administration.”
